Terms of Service for Clientacquisition.io

These Terms of Service ("Terms") govern your use of the virtual assistant services provided by ClientAcquistion.io (referred to as the "Company") through its software platform (the "Platform"). By using the Platform and accessing the virtual assistant services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use the Platform or access the virtual assistant services.

1. DESCRIPTION OF SERVICES:

The Company provides access to a pool of virtual assistants (the "VAs") through the Platform. The VAs are available for hire by clients (referred to as "Clients") to perform various tasks and services remotely. The Company does not directly manage the VAs but facilitates the hiring process and provides technical support for the Platform.

2. CLIENT RESPONSIBILITIES:

  • Eligibility: Clients must be actively enrolled in one of our select programs or subscribed to our Community Access Subscription to access and use the Platform.
  • Account Creation: To access the virtual assistant services, Clients must create an account on the Platform. Clients are responsible for providing accurate and up-to-date information during the registration process.
  • Hiring VAs: Clients have the responsibility to select suitable VAs from the available pool on the Platform. Clients are solely responsible for evaluating the skills, qualifications, and suitability of the VAs for their specific tasks and projects.
  • Payment: Clients shall pay the fees associated with the virtual assistant services as agreed upon with the Company. Additional fees may apply for hiring additional VAs beyond the allocated monthly tokens. Clients are responsible for timely payment of all fees.
  • VA Management: Clients are responsible for managing the assigned VAs, including providing task instructions, setting deadlines, and monitoring the progress and quality of work. Clients shall communicate directly with the VAs to ensure effective collaboration and task completion.

3. TOKENS AND ADDITIONAL VAS:

  • Tokens: Clients are allocated two (2) tokens per month, which can be used to hire VAs from the Company's pool. These tokens are non-accumulative and will not carry forward to subsequent months if unused.
  • Additional VAs: If Clients require additional VAs beyond the allocated tokens, they may request to hire additional VAs. The Company reserves the right to charge a fee of $500 per additional VA, subject to the Client's agreement.
  • VA Replacement: Clients may request a replacement for one (1) VA per month if they are not satisfied with the performance in accordance with our KPI standards or suitability of the originally hired VA. The Company will make reasonable efforts to provide a suitable replacement based on the Client's requirements and the availability of VAs in the pool.

4. CONFIDENTIALITY:

Both the Company and the Clients agree to maintain the confidentiality of any confidential information disclosed during the course of the virtual assistant services. Confidential information includes but is not limited to trade secrets, proprietary information, and client data. Neither party shall disclose or use confidential information for any purpose other than performing their obligations under these Terms or as required by law.

5. INTELLECTUAL PROPERTY:

The Company retains all intellectual property rights in the Platform, including but not limited to software, designs, logos, trademarks, and documentation. Clients shall not reproduce, modify, or distribute any proprietary materials without prior written consent from the Company.

6. LIMITATION OF LIABILITY:

In no event shall the Company be liable for any indirect, special, incidental, punitive, or consequential damages arising out of or in connection with the use of the Platform or virtual assistant services, even if advised of the possibility of such damages. The Company's total liability shall not exceed the amount paid by the Client for the specific virtual assistant services provided.

7. TERMINATION:

Either party may terminate these Terms at any time for any reason by providing written notice to the other party. Upon termination, Clients shall pay any outstanding fees owed to the Company for the Services rendered up to the termination date.

8. MODIFICATIONS:

The Company reserves the right to modify or update these Terms at any time without prior notice. It is the responsibility of the Clients to review the most current version of the Terms before using the Platform or virtual assistant services.
